Choosing a structure shapes your liability, fundraising options and compliance load. This is a general overview, not advice for your situation.
One Person Company (OPC)
Built for a single founder who wants a separate legal entity with limited liability. It has lighter compliance than a private limited company but limits ownership to one person, and has conversion triggers as it grows.
Limited Liability Partnership (LLP)
Two or more partners share profits under an LLP agreement. It combines limited liability with flexible internal rules and generally lower compliance than a company. It is less suited to raising equity from venture investors.
Private Limited Company
The usual choice for startups planning to raise money. Shareholders have limited liability, ownership is easy to split and transfer, and investors are familiar with it. Compliance is heavier, with mandatory annual filings and board processes.
How to decide
Ask: how many founders are there, will you raise outside equity, how much compliance can you handle, and what are your tax plans? A short consultation can answer these quickly before you register.
